1. Agreement to Terms

These Terms and Conditions ("Terms") govern the use of cortexios's AI tutoring services ("Services") provided to educational institutions ("Schools") in Singapore. By accessing or using our Services, Schools agree to be bound by these Terms.

If you are entering into this agreement on behalf of a School, you represent that you have the authority to bind the School to these Terms.

2. Definitions

For the purposes of these Terms:

• "Service" means cortexios's AI-powered adaptive tutoring platform, including all features, content, and related support.
• "School" means the educational institution that has contracted with cortexios to use the Services.
• "User" means students, educators, and administrators authorized by the School to access the Services.
• "Content" means all educational materials, exercises, analytics, and other information provided through the Services.
• "Student Data" means personal information and learning activity data related to students using the Services.

3. Service Description

cortexios provides AI-powered adaptive tutoring services designed for K-12 education. Our Services include:

• Adaptive learning modules for mathematics, science, and language arts
• Progress tracking and analytics dashboards for educators
• Curriculum mapping and alignment services
• Teacher professional development and training
• Technical support and platform maintenance

Service availability and specific features are determined by the engagement type selected by the School.

4. School Responsibilities

Schools using our Services agree to:

• Provide accurate curriculum information and learning objectives during mapping sessions
• Ensure educators receive appropriate training and support for platform use
• Obtain necessary parental consent for student participation where required by law or school policy
• Maintain secure access credentials and notify us promptly of any unauthorized access
• Use the Services only for legitimate educational purposes
• Comply with applicable data protection laws and regulations
• Supervise student use of the platform and ensure age-appropriate engagement

5. User Accounts and Access

Access to our Services is provided through School-authorized accounts. Schools are responsible for:

• Determining which educators and students receive access
• Managing user credentials and access permissions
• Promptly deactivating accounts for users who no longer require access
• Ensuring users understand acceptable use policies

Users must not share login credentials or access the platform using another person's account.

6. Acceptable Use Policy

Users must not:

• Attempt to access, modify, or interfere with the platform's technical infrastructure
• Reverse engineer, decompile, or attempt to extract source code from the Services
• Use the Services to transmit harmful content, spam, or malicious code
• Circumvent security features or attempt unauthorized access to other users' data
• Use automated tools or bots to access the Services without authorization
• Misrepresent identity or affiliation with any institution
• Violate any applicable laws or regulations through use of the Services

7. Intellectual Property Rights

All intellectual property rights in the Services, including software, content, trademarks, and documentation, belong to cortexios or our licensors.

7.1 License to Schools

We grant Schools a limited, non-exclusive, non-transferable license to access and use the Services during the term of their engagement, solely for internal educational purposes.

7.2 Student Data Ownership

Schools retain ownership of all Student Data. We process Student Data only as authorized by the School and in accordance with our Privacy Policy.

7.3 Restrictions

Schools may not copy, modify, distribute, sell, or create derivative works from the Services or our proprietary content.

8. Payment Terms

Payment terms are specified in the service agreement between cortexios and the School. Generally:

• Fees are quoted in Singapore Dollars (SGD) and are due within 30 days of invoice
• Payment may be made by bank transfer or other agreed methods
• Workshops are paid prior to delivery; longer engagements may be billed in phases
• Prices do not include GST, which will be added where applicable

9. Refund Policy

Refund eligibility depends on the service type:

• Workshops: Full refund if cancelled at least 14 days before scheduled date; 50% refund if cancelled 7-13 days before; no refund for cancellations within 7 days
• Single-Subject Modules: Partial refund during first 30 days if implementation issues cannot be resolved; prorated refund for unused portion if School terminates early
• School-Wide Ecosystem: Refunds negotiated on case-by-case basis depending on implementation stage and circumstances

10. Service Availability and Modifications

We strive to provide reliable access to our Services but cannot guarantee uninterrupted availability. We may:

• Perform scheduled maintenance with advance notice to Schools
• Temporarily suspend Services for emergency maintenance or security issues
• Update platform features and educational content to improve quality
• Modify service offerings with reasonable notice to affected Schools

11. Disclaimers

Our Services are provided "as is" without warranties of any kind. Specifically:

• We make no guarantee of specific learning outcomes or academic improvement
• AI-generated adaptive content may occasionally contain errors or inappropriate suggestions
• The Services are a supplementary educational tool and do not replace teacher instruction
• We do not warrant that the Services will meet all School requirements or be error-free

Schools should use the Services as part of a comprehensive educational approach and maintain appropriate teacher oversight.

12. Limitation of Liability

To the maximum extent permitted by Singapore law, cortexios's liability is limited as follows:

• Our total liability shall not exceed the fees paid by the School in the twelve months preceding the claim
• We are not liable for indirect, consequential, or special damages including lost profits or data
• We are not liable for service interruptions caused by factors beyond our reasonable control
• These limitations do not apply to liability for gross negligence, fraud, or personal injury

13. Indemnification

Schools agree to indemnify cortexios against claims arising from: (1) School's violation of these Terms, (2) School's use of the Services in violation of applicable laws, (3) unauthorized access to Student Data due to School's security failures, or (4) third-party claims related to School-provided content or curriculum materials.

14. Term and Termination

The term of service is specified in the School's engagement agreement. Either party may terminate for:

• Material breach of these Terms if not remedied within 30 days of notice
• Insolvency or bankruptcy proceedings
• Mutual agreement

Upon termination, Schools must cease using the Services and we will provide Student Data in a portable format as requested within 90 days.

15. Data Protection and Privacy

Our handling of personal data is governed by our Privacy Policy, which forms part of these Terms. We commit to:

• Processing Student Data only as authorized by the School
• Implementing appropriate security measures
• Complying with Singapore's Personal Data Protection Act
• Assisting Schools in meeting their data protection obligations

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of Singapore. Any disputes shall be resolved as follows:

• Parties will first attempt to resolve disputes through good-faith negotiation
• If negotiation fails, disputes may be submitted to mediation
• Unresolved disputes shall be subject to the exclusive jurisdiction of Singapore courts

17. Changes to These Terms

We may update these Terms periodically. Material changes will be communicated to Schools at least 30 days before taking effect. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

18. General Provisions

18.1 Entire Agreement

These Terms, together with the service agreement and Privacy Policy, constitute the entire agreement between cortexios and the School.

18.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force.

18.3 Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other provision.

18.4 Assignment

Schools may not assign these Terms without our written consent. We may assign to affiliates or in connection with a merger or acquisition.

18.5 Notices

Notices to Schools will be sent to the administrative email address on file. Notices to cortexios should be sent to legal@cortexiieon.
